These Terms & Conditions (“Terms”) govern the relationship between YELLA RAE LIMITED (“Agency”) and the client (“Client”) purchasing branding, digital marketing, or web design services.

1. Acceptance of Terms

By engaging Agency for services, Client agrees to be bound by these Terms. Any variation must be agreed upon in writing by both parties.

2. Services and Scope

Agency will provide services as detailed in the agreed-upon project proposal or Statement of Work (SOW). Any additional work requested outside this scope will require a new agreement or a signed Change Order and may incur additional fees.

3. Intellectual Property (IP) Rights

  • Client Materials: Client guarantees that all content (logos, copy, images) provided to Agency is owned by the Client or that Client has permission to use it. Client retains ownership of all Client Materials.
  • Final Works: Upon full and final payment of all invoices, Agency hereby assigns to Client all right, title, and interest in and to the final visual designs, logos, and website code created specifically for the Client under the SOW.
  • Agency Preliminaries: Agency retains ownership of all preliminary designs, concepts, and working files (e.g., source files) that were not selected for final delivery. Agency also retains rights to its own internal methodologies, tools, and pre-existing code libraries.

4. Client Responsibilities and Feedback

Client agrees to provide timely feedback, assets, and approvals necessary for the completion of the project. Agency is not responsible for delays caused by Client’s failure to provide required inputs.

5. Standard of Care

Agency will perform the services with reasonable care and skill, consistent with current industry standards for creative marketing and design agencies.

6. Limitation of Liability

To the maximum extent permitted by law, YELLA RAE LIMITED shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, or data, arising from or relating to the services provided, even if advised of the possibility of such damages.
